What Is ESG Governance?

ESG governance is the set of structures, processes, and accountabilities that determine how a company manages its environmental, social, and governance performance. It covers board oversight, executive responsibility, internal controls, and stakeholder engagement mechanisms.

Good governance answers three questions. Who decides on ESG priorities? How are those decisions tracked and reviewed? And who is accountable when targets are missed? If the answers are unclear, the ESG strategy lacks teeth.

The CSRD requires companies to disclose their governance arrangements for sustainability. That includes board-level oversight, management roles, incentive structures tied to ESG targets, and stakeholder engagement processes. The G in ESG is not a third pillar to fill in.
